Corporate Paralegal

Irvine, CA
Summary: The Contracts Paralegal will report to the General Counsel, Legal Division.   Duties include but not limited to the following: assist legal team with  reviewing and redlining  commercial contracts, including SaaS contracts, Reseller Contracts, Third Party Vendor Contracts, MSAs, NDAs,  and other contracts. The position is responsible aiding the Legal Department as needed with other projects, reviewing policies and handling other confidential legal projects to ensure company is compliant with applicable laws and regulations.  They also act as a liaison between internal business parties and external vendors and suppliers to ensure that all contracts, and any applicable legal documents are reviewed, executed and filed.

Responsibilities:
  • Document and support the negotiation of any changes or amendments that may arise during contract review and execution.
  • Understand, interpret, and transmit relevant contract information, processes and procedures and notifications to all key project participants.
  • Review all contract documents to minimize conflicts and ambiguities and ensure the key requirements are readily available to and understood by the project participants.
  • Collaborate with other Company operations leads on the project (and legal leads at the Company) to implement effective change management best practices.
  • Support sales and project participants by assisting with contractual management issues.
  • Oversee non-technical aspects of ongoing contracts, including compliance with contract documents to ensure that the requirements are implemented and maintained.
  • Collaborate with purchasing and subcontracts management to ensure contract terms and obligations included in agreements with subcontractors and vendors to avoid stranded risk.
  • Prepare change order and claim logs, in coordination with other project participants.
  • Monitor schedule for submission of deliverables.
  • Prepare and distribute monthly contract reports, as requested.
  • Review, draft, and negotiate contracts with internal/external partners ensuring compliance with organizational policies and applicable laws and regulations.
  • Maintain an organized and up-to-date contract database, ensuring all contracts are properly executed, stored, and easily accessible for reference.
  • Collaborate with internal/external partners to resolve any contract-related issues or discrepancies.

Requirements:
  • Experience with IT Sales resources within a corporate environment.
  • Savvy with corporate software and technology (NetSuite, DocuSign, Legal Contract Management Software, legal databases, etc.).
  • Able to draft templates, review and redline legal documents such as basic contracts, NDAs, Addendums, Amendments.
  • Resolute and flexible to adapt to meet deadlines on projects and abiding by confidentiality provisions of the legal department.
  • Work effectively in a team environment and manage multiple projects simultaneously.
  • Strong work ethic and diligence.
  • Excellent written and verbal communication skills, with the ability to articulate complex concepts clearly and concisely.
  • Able to work independently and under tight deadlines, while producing high-quality work.

Education and/or Experience:
  • Minimum of 3-6 years of work experience in contracts review and administration or contracts management within an Information Technology Sales organization.

Language Skills:
  • Proficient in English (verbal and written communication).
  • Effective communication and people skills.

Physical Requirements: 
  • Prolonged periods of sitting at a workspace and working on a computer. 
  • Must be able to lift, in an upward motion, a minimum of 45 pounds.

Travel Requirements:
  • Possibly requires driving and flying, locally and overnight, to Customer, Vendor, and Company locations and events.
  • The candidate must be able to work in the Irvine, CA office a minimum of three (3) days each week and may work remotely up to two (2) days per week.

Salary:
  • $90,000 - $110,000
  • Compensation will be based on several variables that are unique to each candidate, including but not limited to, job-related skills, experience, relevant education, and training.
